01 — Agreement

Accepting these terms.

These Terms of Use ("Terms") govern your use of the orbtlabs.com website and the free tools and content offered on it (together, the "Site"). The Site is operated by KERNL LLC, doing business as ORBT Labs ("ORBT Labs," "we," "us," "our"), an independent studio in San Diego, California.

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Site.

02 — Acceptable use

How you may use the Site.

You may use the Site for lawful purposes and in a way that doesn't harm the Site or other users. You agree not to:

Use the Site or its tools to break the law, infringe others' rights, or submit content you don't have the right to submit.
Attempt to disrupt, overload, probe, or gain unauthorized access to the Site, its infrastructure, or its data.
Scrape, automate, or abuse the free tools beyond ordinary personal or business use, or in a way that evades rate limits.
Submit malware, spam, or content that is unlawful, harmful, or deceptive.
Reverse engineer, resell, or misrepresent the Site or its tools as your own.

We may limit, suspend, or block access to protect the Site or other users.

03 — The free tools

About the AI-citation audit and brief generator.

The Site offers free tools — including an AI-citation audit and a brief generator — that use an AI model to generate output from the input you provide. These tools are offered as a convenience, and a few things are important to understand:

Automated, best-effort output. Results are generated by software and may be incomplete, inaccurate, or out of date. Always review and verify before relying on anything they produce.
Not professional advice. The tools and any content on the Site do not constitute legal, financial, marketing, SEO, or other professional advice, and using them creates no professional or client relationship.
Your input. Don't submit confidential, sensitive, or proprietary information you're not comfortable sending to an AI provider. Input is processed as described in our Privacy Policy.
No guaranteed outcome. Nothing produced by a tool guarantees any ranking, citation, traffic, or business result.

04 — Intellectual property

What belongs to whom.

The Site — including its design, code, text, graphics, the ORBT Labs name and marks, and the studio's brand system — is owned by KERNL LLC / ORBT Labs and is protected by intellectual-property laws. You may view and use the Site for its intended purpose, but you may not copy, reproduce, republish, or create derivative works from it without our written permission.

You keep ownership of the input you submit to a free tool. By submitting it, you grant us the limited right to process it in order to operate the tool and return your result.

05 — As-is, no warranty

Provided "as is."

The Site and its tools are provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or that any result will be accurate or reliable.

06 — Limitation of liability

The limits of our responsibility.

To the fullest extent permitted by law, ORBT Labs and KERNL LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Site or its free tools — even if we've been advised such damages are possible. To the extent any liability cannot be excluded, our total aggregate liability relating to the Site is limited to one hundred U.S. dollars (US$100). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

07 — Third-party links

Links out.

The Site may link to third-party websites or services we don't control. We're not responsible for their content, practices, or availability, and linking to them isn't an endorsement. Your use of any third-party site is governed by that site's own terms.

08 — Paid engagements

Client work is governed separately.

These Terms cover use of the public website and its free tools. They do not govern paid projects. Any engagement to design, build, or maintain a website or software for you is governed by the separate Client Services Agreement we sign with you, which controls scope, fees, deliverables, ownership, and warranties for that work. If there's ever a conflict between these Terms and a signed Client Services Agreement, the signed agreement governs the paid work.

09 — Governing law

California law.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in San Diego County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.

10 — Changes & contact

Updates, and how to reach us.

We may update these Terms from time to time. When we do, we'll revise the "last updated" date above; continued use of the Site after a change means you accept the updated Terms.
